1. Introduction

These Terms & Conditions govern your use of the Mark My System website and services. By accessing or using our services, you agree to be bound by these terms. If you do not agree, please do not use our services.

Mark My System ("we", "us", "our") is a UK-based provider of web application development, business software systems, and related consultancy services.

2. Services

We provide custom web and mobile application development, business dashboard creation, client portal setup, API integration, and ongoing maintenance services. All engagements are subject to a separate project agreement that will define scope, deliverables, timelines, and fees.

3. Client Obligations

You agree to provide accurate and timely information necessary for the delivery of services, including access to systems, feedback on deliverables, and decision-making within agreed milestones. Delays caused by failure to meet these obligations may affect timelines and costs.

4. Intellectual Property

Upon full payment, we assign to you all intellectual property rights in the custom software we develop for your project, excluding any third-party libraries, frameworks, or tools used in the development process. We retain the right to display completed work in our portfolio unless otherwise agreed in writing.

5. Fees and Payment

Fees are outlined in your project agreement. Invoices are due within the period specified. Late payments may incur interest at 4% above the Bank of England base rate. All prices are in GBP and exclusive of VAT unless stated otherwise.

6. Limitation of Liability

To the maximum extent permitted by UK law, our liability for any claim arising from these terms or our services shall not exceed the total fees paid by you in the 12 months preceding the claim. We are not liable for indirect or consequential losses, including loss of profits, data, or business interruption.

7. Termination

Either party may terminate an engagement under the terms of your project agreement. We may suspend services if payment is overdue or if you are in material breach of these terms. Ownership of work completed up to the point of termination shall be governed by the payment status at that time.

8. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
